Our chief governing body is the Shareholders Meeting, which has the power to appoint the members of the Board of Directors.
According to the Bylaws of Grupo Bimbo, the Board of Directors must be composed of a minimum of five (5) and a maximum of twenty-one (21) members of the Board, of which at least twenty-five percent (25%) must be independent members of the Board.
The Board of Directors is the governing body responsible for establishing the long-term business strategy, approving the most important business decisions, supervising management, managing risks, monitoring regulatory compliance and for selecting, evaluating and removing the Chief Executive Officer and the relevant officers of the company.
