Governance

We follow the best international practices in Corporate Governance, as well as those suggested by the Mexican Stock Exchange. All of our governing bodies are made up of professionals who have extensive experience and knowledge of the industry in Mexico.

Our highest governing body is the Shareholder's Meeting, which has the power to appoint the members of the Board of Directors.

In accordance with Grupo Bimbo's bylaws, the Board of Directors must be made up of a minimum of five (5) and a maximum of twenty-one (21) proprietary directors, of which at least twenty-five percent (25%) must be independent. .

The Board of Directors is the governing body in charge of establishing the long-term business strategy, approving the main business decisions, supervising administration, managing risks, monitoring regulatory compliance, as well as electing, evaluating and removing the CEO. and the relevant directors of the company.
